General Terms and Conditions:

This Agreement governs the provision of the Services by WaveNetworks Inc. d/b/a W-Networks (“WaveNetworks” the “Company,” “we,” “us,” or “our”) to you (“your,” “applicant,” “customer,” “subscriber,” “participant,” or “user”) and your use of the Services and Devices. As used in this Agreement, the term: (A) “Services” means voice telephony (“talk”), text messaging (“text”), broadband Internet access services (“data”), and any other services provided to you by WaveNetworks in accordance with these terms and conditions, which terms and conditions incorporate and include the Acceptable Use Policy (“AUP”) and WaveNetworks Privacy Policy, as they may be changed from time to time (collectively, the “Terms of Service”). (B) “Device” means any phone, smartphone, accessory, router or other device provided or sold to you by WaveNetworks or that you activate or use with our Services. Customer is responsible for all equipment’s/mobile devices and software necessary to connect to WaveNetworks. Customer agrees to use the service in a manner consistent with any and all applicable laws. Use of WaveNetworks services for any unsolicited advertising is prohibited. We reserve the right to refuse service to anyone for any reason at any time. You understand that your content (not including credit card information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card information is always encrypted during transfer over networks. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.

IMPORTANT NOTICE: By accepting these Terms of Services and using the products and services provided to you, you are bound by the terms and conditions listed hereafter and any wireless carrier “Service Agreement”, “Acceptable Use Policy”, or related document which governs a user’s responsible use of network resources and services as referenced by the wireless carrier on their website. Additional terms and conditions may also apply. Also By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use our services. Subscriber agrees not use our products/services for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). Engage in illegal file sharing. Harm the network or other Subscribers’ experiences by transmitting any worms or viruses or any code of a destructive nature. Attempt unauthorized access to any system or network. Subscribers are responsible for all activities through their account and must keep their credentials confidential. Unauthorized use must be reported immediately. A breach or violation of any of the Terms will result in an immediate termination of your Services.

SERVICES DESCRIPTIONS:

Mobile Wireless: WaveNetworks is an MVNO under the GSM-T & GSM-A networks and does not operates/manage the networks facilities. The availability of WaveNetworks wireless Services is subject to the geographic coverage area of our Underlying Carrier and its roaming partners. Only domestic U.S. coverage is available; we do not offer international coverage. Coverage may not be available everywhere in the domestic U.S., and you will not have access to our Services outside the coverage area. There may be locations within the estimated coverage area where actual coverage is limited and you may experience interruptions or reductions in Service quality, including due to interference from buildings and other structures, terrain, and foliage. Additionally, actual coverage at any given time may vary by Service and be affected by factors beyond our control. WaveNetworks does not guarantee or warrant the coverage of the network of our Underlying Carrier or its roaming partners. Where there is no coverage, 911 calls may not reach public safety answering points. In such instances, subscribers should dial 911 from the nearest landline phone. In addition to factors that affect coverage, Service availability and quality may be subject to “Service Limitations,” which may depend on whether you are using wireless or landline Services. These include interruptions, delays, or reductions, due to a variety of factors, including, but not limited to: weather and atmospheric conditions; obstructions; electromagnetic interference; use of the Services inside a building or moving vehicle; your geographic location relative to our coverage area; your proximity to wireless cell sites; the capacity of a cell site; the number of other customers connected to the same cell site; other network capacity limitations and congestion; the capabilities and compatibility of your device; network outages or issues on the network of our Underlying Carrier or interconnecting carriers; and priority access by National Security and Emergency Preparedness personnel in the event of a disaster or emergency.

Internet Broadband: WaveNetworks provides internet services using the “Fixed Wireless” method which broadcast data’s from a cell tower to the customer router device. Please carefully read these terms and conditions (“Terms”) before subscribing to the High-Speed Wireless LTE Internet service (“Service”) offered by WaveNetworks (“Provider” or “We”). These Terms constitute a legally binding agreement between you (“Subscriber” or “You”) and WaveNetworks. By subscribing to the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. The High-Speed Wireless LTE Internet Service, provides high-speed internet access to Subscribers in various locations. The Service includes several different plans packages with several different data limitations that are subject to a fair use policy, ensuring optimal performance and network quality for all Subscribers. WaveNetworks uses backbone carriers to provide nationwide service so we are not involved in the creation or the provisioning of the Service. While we do purchase services from those carriers, we have no control over changes the carriers make to their networks, data speed limits, or outages that may happen. The Service may be disrupted or unavailable from time to time due to maintenance, emergencies, inclement weather, or other factors outside of our control, or any of our partner’s control. The Service and the related equipment needed to use the Service (“Equipment”) may not function in the event of a power failure or disruption, and it may be required to reset or reconfigure in order to use the Service thereafter. We and our partners assume no liability regarding any failure or lack of performance of the Service. In the event that there’s an outage, we has no abilities to make these repairs on the national carriers network, but we do work closely with their technicians to assure that all services are restored. Speed rates, which describes the rate at which data is transmitted on the network, depend upon the cellular service coverage and equipment capabilities. The maximum speed for the service is stated under each plans and may vary significantly. WaveNetworks does not offer, disclose, or guarantee maximum speeds. All subscriptions are provided on an AS IS basis and throughput speeds are not guaranteed.

TV Streaming: WaveNetworks provides third party license live tv, movies & series on demand contents via it’s “App”. We do not own any of the contents.

SET UP:

Upon subscribing, you are responsible for paying the first subscription month for each new plan you subscribe to, the activation/set up fee, plus the purchase of any equipment(s) if applicable. Subscription constitutes access to products and services and does not constitute ownership to the networks or services. The fee for a subscription covers the cost of the service, and support for each subscription. There can be multiple subscriptions under one customer’s account.

Billings/Payments:

Customer agrees to pay WaveNetworks all charges relating to the use of Customer’s service(s). Customer recognizes that there is a 30-day minimum subscription period. Your recurring billing cycle starts 28 days after your activation date. The service will renew at that date every month after until customer cancel or we terminate the service for any lawful reason(s). If customer wants to cancel please do so at least 24-48 hours prior to the billing due date. All payments must be pay prior or on the due date, failure to make a payment will results in your service being suspended. Subscribers must pay fees as per the agreed pricing plan. Subscribers are responsible for all charges, including taxes and fees. If an internet and/or tv service is suspended for more than 30 days customers will need to pay a reconnection fee. And if a mobile service is suspended for more than 59 days customer might lose their phone number and will need to purchase a new sim & pay the initial activation fee. WaveNetworks reserved the right to change prices upon a 30 days notice and we also reserves the right to modify the terms and conditions.

CHARGEBACKS & DISPUTES: If a customer has used our service)s) for a minimum of 24 hours or an equipment is pass the refund period time he/she is not entitle for a refund and can not charge us back. In any case a customer decides to charge us back and we acquire a charge back fee we will charge the customer the fee. ENTIRE AGREEMENT:

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service). Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

Governing Law:

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of United States without regard to its conflict of law provisions. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

The materials on WaveNetworks website(s) and services by WaveNetworks are provided “as is”. WaveNetworks makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, performance, or non-infringement of intellectual property or other violation of rights. Further, WaveNetworks does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet website(s), services or otherwise relating to such materials or on any sites linked to this site.

SECURITY:

Subscriber acknowledges and agrees that when using the Internet Service to access the Internet or any other online network or service, there are certain risks that may enable other Internet users to gain access to or use of Subscriber’s equipment. Subscriber is responsible for taking and should take all appropriate security measures when using the Internet Service. Subscriber assumes sole responsibility for Subscriber’s equipment used in conjunction with the Internet Service and for providing and configuring any “firewall” or security measures for use with the Internet Service to prevent damage from viruses, malware, or other similar malicious items, and Subscriber, not WaveNetworks, shall be solely responsible in any manner for the effectiveness of these blocking and filtering technologies. WaveNetworks does not warrant that others will be unable to gain access to Subscriber’s computer(s) and/or data even if Subscriber utilizes blocking and filtering technologies, nor does WaveNetworks warrant that the data or files will be free from computer viruses or other harmful components. WaveNetworks has no responsibility and assumes no liability for the protections Subscriber may employ nor for any damages that may arise from accessing the Internet. Subscriber is responsible for any misuse of the Service(s) that occurs through Subscriber’s account whether by a member of Subscriber’s household or unauthorized third-party.

Email Mailbox: Subscriber agrees that WaveNetworks owns any and all mailboxes associated with the Internet Service and may reclaim such mailboxes at any time for any reason. WaveNetworks may also limit the number of new email addresses available per account. Subscriber agrees that if Subscriber does not access an WaveNetworks mailbox for a period of 90 days, WaveNetworks may delete mailbox and contents. Subscriber may re-establish mailbox if requested and still available. Subscriber understands that upon disconnecting from WaveNetworks Internet service, WaveNetworks may suspend the account and delete the contents of the mailbox, if any, at that time. In no event will WaveNetworks be responsible for maintaining, and WaveNetworks will not guarantee storage of, electronic mail for any period of time. WaveNetworks also reserves the right to enforce email storage limits.
